Important Notice: This End User License Agreement ("Agreement") is entered into between you (an individual, company, or any other entity) and Shenzhen Fanvil Technology Co., Ltd. ("Fanvil") regarding the use of the Software (as defined in Article I of this Agreement).
欢迎您使用 Fanvil-Partner（以下简称"本服务"）。本服务由深圳方位智联科技有限公司（以下简称"方位智联"、"方位"、"Fanvil"或"我们"）提供，旨在为安装商、系统集成商及企业客户提供设备管理、项目配置及相关服务。
Welcome to Fanvil-Partner (hereinafter "the Service"). The Service is provided by Shenzhen Fanvil Technology Co., Ltd. (hereinafter "Fanvil" or "we"), designed to provide device management, project configuration, and related services for installers, system integrators, and enterprise customers.
在使用本服务之前，请您仔细阅读并充分理解本《Fanvil-Partner 服务条款》（以下简称"本条款"）。当您登录、使用本服务或点击"同意"按钮时，即表示您已阅读、理解并同意受本条款约束。如果您不同意本条款，请勿使用本服务。
Before using the Service, please read and fully understand these Fanvil-Partner Terms of Service ("Terms"). By logging in, using the Service, or clicking "Agree," you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

Fanvil 授予您一项有限的、非独占的、不可转让的许可，以在您的移动设备或计算机上安装和使用 Fanvil-Partner 应用，仅用于合法的设备管理、项目配置及相关业务管理活动。
Fanvil grants you a limited, non-exclusive, non-transferable license to install and use the Fanvil-Partner application on your mobile device or computer, solely for lawful device management, project configuration, and related business management activities.
本服务仅面向具备完全民事行为能力的个人或合法注册的企业用户。如您代表企业使用本服务，您应确保您已获得该企业的合法授权。
The Service is only available to individuals with full civil capacity or legally registered enterprise users. If you use the Service on behalf of an enterprise, you must ensure you have obtained lawful authorization from that enterprise.
要使用方位智联服务，您需要通过您的上级服务商开通账户。您可以安装商角色账户登录门户网站和 Fanvil-Partner App 访问方位智联服务。
To use Fanvil services, you need to activate an account through your superior service provider. You may log in to the portal and Fanvil-Partner App with an installer account to access Fanvil services.

未经账户持有人的明确许可和同意，您不得在任何时候使用他人的账户。对于因您未能履行这些义务而造成的任何损失或损害，我们不承担任何责任。
You may not at any time use another person's account without the explicit permission and consent of the account holder. We shall not be liable for any loss or damage arising from your failure to comply with these obligations.
如您想注销您的账户，请联系给您开通账户的上级服务商。账户是使用方位智联服务的必要条件。关闭账户前，请确保您不再使用方位智联服务，并且您的账户中没有任何已授权的网站。另请注意，您将无法重新激活您的账户，也无法找回之前添加到账户中的任何内容或信息。如果您将来想要再次使用方位智联服务，则需要创建一个新账户。注销账户时，请仔细阅读我们的通知。
To delete your account, please contact the superior service provider who activated your account. An account is a prerequisite for using Fanvil services. Before closing your account, please ensure you are no longer using Fanvil services and that there are no authorized sites in your account. Please also note that you will not be able to reactivate your account or recover any content or information previously added to it. If you wish to use Fanvil services again in the future, you will need to create a new account. Please read our notices carefully when deleting your account.
特别注意：Fanvil 有权在以下情况下暂停或终止您的账户：1. 提供虚假信息；2. 违反本协议或相关法律；3. 从事影响平台安全或服务稳定的行为。
Special Notice: Fanvil reserves the right to suspend or terminate your account if you: 1. provide false information; 2. violate this Agreement or applicable laws; 3. engage in activities that affect platform security or service stability.
方位隐私政策（以下简称"隐私政策"）提供了与方位收集的数据以及方位使用这些数据的方式相关的信息。当您在设备上使用本软件时，方位将依据本协议和隐私政策的规定从您的设备上收集数据。
The Fanvil Privacy Policy ("Privacy Policy") provides information about the data Fanvil collects and how Fanvil uses that data. When you use the Software on your device, Fanvil will collect data from your device in accordance with this Agreement and the Privacy Policy.
使用某些特定功能可能需要连接互联网并注册方位智联服务。您必须拥有使用方位智联服务所需的硬件、软件和互联网连接。若缺少以下条件，您将无法访问方位智联服务：
Certain features may require an internet connection and registration with Fanvil services. You must have the necessary hardware, software, and internet connection to use Fanvil services. Without the following, you will be unable to access Fanvil services:
此外，访问或使用某些方位智联服务可能需要您开启设备的 Wi-Fi 功能。
In addition, accessing or using certain Fanvil services may require you to enable the Wi-Fi function on your device.
我们不对第三方及其产品和服务负责，包括但不限于任何支持方位智联服务的第三方产品和服务、设备、互联网服务提供商、运营商、应用商店等。
We are not responsible for third parties and their products and services, including but not limited to any third-party products and services supporting Fanvil services, devices, internet service providers, carriers, and app stores.
方位智联服务可能包含指向第三方运营网站（"第三方网站"）的链接。此类第三方网站并非由我们控制。我们提供这些链接和推荐仅为方便用户，我们不对这些第三方网站提供的产品和服务进行审查、批准、监控、认可或作出任何陈述或保证，亦不承担任何责任。我们建议您仔细阅读这些第三方网站的所有适用协议、使用条款/服务条款及其他政策。
Fanvil services may contain links to websites operated by third parties ("Third-Party Websites"). Such Third-Party Websites are not controlled by us. We provide these links and recommendations for user convenience only, and we do not review, approve, monitor, endorse, make any representations or warranties, or assume any responsibility for the products and services provided by these Third-Party Websites. We recommend that you carefully read all applicable agreements, terms of use/service terms, and other policies of these Third-Party Websites.
我们特此声明，您特此解除、放弃并免除我们及我们的许可方和供应商因您与此类第三方及其产品和服务互动而引起的或与之相关的任何过去、现在和未来的索赔、责任和损害（无论已知或未知）。
We hereby disclaim, and you hereby release, waive, and discharge us and our licensors and suppliers from any and all past, present, and future claims, liabilities, and damages (whether known or unknown) arising from or related to your interactions with such third parties and their products and services.

您在此同意并承诺，当您使用方位智联服务将产品与您的账户关联时，您已获得网站所有者的同意，并且您将遵守适用的数据保护法律法规。您仅会在为网站所有者提供所需服务所必需的范围内收集和使用个人数据。对于因您未能遵守适用的数据保护法律法规而产生的任何责任，您将承担全部责任，并保证方位智联免受由此产生的任何责任。
You hereby agree and undertake that when you use Fanvil services to associate products with your account, you have obtained the consent of the site owner, and you will comply with applicable data protection laws and regulations. You will only collect and use personal data to the extent necessary to provide the required services to the site owner. You shall bear full responsibility for any liability arising from your failure to comply with applicable data protection laws and regulations, and shall indemnify Fanvil against any liability arising therefrom.
如出现非法或欺诈活动、违反本条款或其他协议或规则等情况，或任何其他表明不当使用方位智联服务或内容的情况（包括但不限于作弊、干扰/破坏网站系统、恶意利用系统或规则漏洞），方位智联有权拒绝授予、取消、暂停或使您的任何证书无效，或限制您访问服务功能（包括但不限于禁用您的账户等）。请注意，方位智联保留就您的不当行为追究任何补救措施或赔偿的权利。
In the event of illegal or fraudulent activity, violation of these Terms or other agreements or rules, or any other indication of improper use of Fanvil services or content (including but not limited to cheating, interfering with or disrupting website systems, or maliciously exploiting system vulnerabilities), Fanvil reserves the right to refuse to grant, revoke, suspend, or invalidate any of your credentials, or restrict your access to service features (including but not limited to disabling your account). Please note that Fanvil reserves the right to pursue any remedies or compensation for your misconduct.

These Terms apply to any future updates, version releases, or other changes to Fanvil services.
本协议自您安装软件的首日生效。您可以随时终止本协议，方法是永久删除、销毁并归还软件、所有备份副本以及方位提供的所有相关材料，并自行承担相应的成本。如果您未能遵守本协议中的任一条款或条件，方位或其许可方有权在不预先通知的情况下随时终止本协议。终止后，您必须立即停止使用本软件，并删除所有已经复制和/或安装在您的设备或计算机上的软件及相关材料。
This Agreement becomes effective on the first day you install the Software. You may terminate this Agreement at any time by permanently deleting, destroying, and returning the Software, all backup copies, and all related materials provided by Fanvil at your own cost. If you fail to comply with any term or condition of this Agreement, Fanvil or its licensors may terminate this Agreement at any time without prior notice. Upon termination, you must immediately cease using the Software and delete all copies of the Software and related materials installed on your devices or computers.
方位有权随时修改本协议，修改后的协议将在本软件内发布，发布即生效。用户继续使用本应用，即视为同意修改后的协议。
Fanvil reserves the right to modify this Agreement at any time. The amended Agreement will be published within the application and takes effect upon publication. Continued use of the application constitutes acceptance of the amended Agreement.
在适用法律允许的最大范围内，方位智联服务（即门户网站、移动应用程序和软件）仅为方便您而提供，并"按现状"和"按现有"提供，不保证其无任何缺陷和错误。我们及我们的供应商和许可方明确否认任何形式的明示、默示或法定保证和条件，包括但不限于适销性、特定用途适用性、准确性、所有权、安静享用权、不侵犯第三方权利、可用性、数据安全以及任何其他可能产生的保证，非交易过程或行业惯例。
To the maximum extent permitted by applicable law, Fanvil services (i.e., the portal, mobile applications, and software) are provided for your convenience only, on an "as is" and "as available" basis, with no guarantee of being free from defects or errors. We and our suppliers and licensors expressly disclaim any and all express, implied, or statutory warranties and conditions, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, title, quiet enjoyment, non-infringement of third-party rights, availability, data security, and any other warranties arising from course of dealing or trade usage.
对于任何第三方通过方位智联服务（包括但不限于云服务）或任何超链接网站或服务提供的产品、软件或服务，我们不作任何保证、认可、担保或承担任何责任。
We make no warranty, endorsement, guarantee, or assume any responsibility for any products, software, or services provided by any third party through Fanvil services (including but not limited to cloud services) or any hyperlinked websites or services.
我们对通过方位智联服务访问或获取的任何内容不做任何陈述，也不对通过方位智联服务访问或获取的材料的准确性、版权合规性、合法性或道德性承担任何责任。我们对通过方位智联服务提供或购买的服务或产品的建议或推荐不做任何陈述或保证。
We make no representations regarding any content accessed or obtained through Fanvil services, and assume no responsibility for the accuracy, copyright compliance, legality, or decency of material accessed or obtained through Fanvil services. We make no representations or warranties regarding any recommendations or advice provided or obtained through Fanvil services.
您知悉并同意，使用方位智联服务需连接互联网，且使用风险完全由您自行承担。在适用法律允许的最大范围内，Fanvil 不对因网络环境、第三方服务或不可抗力导致的服务中断承担责任。
You acknowledge and agree that use of Fanvil services requires an internet connection, and the use is entirely at your own risk. To the maximum extent permitted by applicable law, Fanvil is not liable for service interruptions caused by network conditions, third-party services, or force majeure.
监控、数据保护和隐私法律因司法管辖区而异，并可能对您使用方位智联服务施加某些责任。您承认并同意，您（而非我们）将负责确保您遵守您所在地的适用法律，并且如果方位智联服务被用于非法目的，包括但不限于：非民用；录制或分享不符合适用法律的视频或音频内容；未能遵守通知和同意法律；侵犯第三方权利，我们概不负责。用于医疗治疗或其他因方位智联服务故障可能导致死亡或人身伤害的情况。
Surveillance, data protection, and privacy laws vary by jurisdiction and may impose certain obligations on your use of Fanvil services. You acknowledge and agree that you (and not us) are responsible for ensuring your compliance with applicable laws in your jurisdiction, and that we shall bear no responsibility if Fanvil services are used for illegal purposes, including but not limited to: non-civilian use; recording or sharing video or audio content in violation of applicable law; failure to comply with notice and consent laws; infringement of third-party rights; use for medical treatment or other circumstances where a failure of Fanvil services could result in death or personal injury.
如果方位或客户彼此提供的信息（技术信息、商业信息及用户数据）被确定为机密信息或可能被视为机密信息，此信息的使用不得与提供信息的目的相冲突，也不得在未经另一方事先书面（包括电子邮件）同意的情况下提供给第三方。
If information exchanged between Fanvil and the customer (technical information, business information, and user data) is designated or may be regarded as confidential, such information shall not be used for any purpose inconsistent with the purpose for which it was provided, and shall not be disclosed to third parties without the prior written (including email) consent of the other party.
方位拥有并保留适用于方位提供的协议的任何和所有专利、商标、工业或实用新型、版权、商业秘密和其他知识产权和工业产权的所有权利、法律主张和股份。这并不影响客户权利和方位义务。提供协议并不包括方位拥有的商标、公司名称、专利、工业或实用新型或已知知识的使用许可，客户不得使用方位拥有的以及方位提供的协议相关的任何知识产权或工业产权对应的权利。除非方位书面同意与方位拥有的知识产权或工业产权相对应的权利（在给定的使用同意中明确定义的情况下）。如果该等同意已被批准，或与方位拥有的知识产权或工业产权相对应的权利使用协议已达成，则该使用权不能适用于该等同意或协议中未明确规定的任何其他情况。如果同意不是以书面形式给予的，或者协议不是以书面形式达成的，则不可能推断或适用口头同意或达成协议。只有书面形式才是有效和有约束力的。
Fanvil owns and retains all rights, claims, and interests in any and all patents, trademarks, industrial or utility models, copyrights, trade secrets, and other intellectual property and industrial property rights applicable to agreements provided by Fanvil. This does not affect customer rights and Fanvil's obligations. Entering into this Agreement does not include a license to use Fanvil's trademarks, company name, patents, industrial or utility models, or proprietary knowledge; the customer may not exercise any rights corresponding to intellectual property or industrial property rights owned by Fanvil and related to agreements provided by Fanvil, unless Fanvil has given written consent with respect to the rights corresponding to such intellectual property or industrial property rights (as explicitly defined in a given consent to use). If such consent has been granted, or an agreement to use rights corresponding to Fanvil's intellectual property or industrial property rights has been reached, such right of use may not be applied to any other situation not explicitly provided for in such consent or agreement. If consent is not given in writing, or if an agreement is not concluded in writing, no oral consent or agreement may be inferred or applied. Only written form is valid and binding.
如果未授权使用方位拥有的知识产权或工业产权对应的任何权利，客户应在方位通知后立即停止该等未授权使用，并赔偿所有损害，放弃所有不合理的收入，并向方位支付适当赔偿。方位也有权要求法院在任何时候发布一项禁止此类非法使用的初步措施。在侵犯方位拥有的知识产权或工业产权的情况下，方位可能不采取行动不能被解释为同意或接受该等使用、放弃或限制方位的权利。
In the event of unauthorized use of any rights corresponding to Fanvil's intellectual property or industrial property rights, the customer must immediately cease such unauthorized use upon Fanvil's notice, compensate for all damages, forfeit all improper gains, and pay appropriate compensation to Fanvil. Fanvil also reserves the right to request a court to issue a preliminary injunction against such unauthorized use at any time. In cases of infringement of Fanvil's intellectual property or industrial property rights, Fanvil's failure to take action shall not be construed as consent to or acceptance of such use, or as a waiver or limitation of Fanvil's rights.
